1. Acceptance of Terms

By accessing or using the services provided by Impressify ("we," "us," or "our"), including our website (impressify.ca), you agree to comply with and be bound by these Terms & Conditions. These Terms apply to all clients, prospective clients, and users engaging with our services.
 

2. Service Overview

Impressify offers done-for-you content creation services, including social media posts, reels, blogs, newsletters, and more. All services are customized to each client’s brand and business objectives.
 

3. Payment Terms

  • All pricing is based on monthly packages.

  • Contracts are a minimum commitment of 6 months.

  • A 10% discount applies to clients who commit to a 12-month contract.

  • A one-time, non-refundable setup fee of $799 is required upon sign-up. This covers onboarding, account setup, and the creation of a custom AIGPT Assistant.

  • All monthly fees are prepaid. No work will commence without payment.
     

4. Revisions & Refunds

  • One revision per content batch is permitted prior to posting.

  • Revisions must be submitted no later than 48 hours before the scheduled posting (typically Wednesday for the following week).

  • No refunds will be issued once content has been created or posted.

  • Clients may choose to terminate their contract at the end of the current prepaid month. No partial refunds will be provided.

 

5. Ownership & Content Rights

  • Clients retain full ownership of the final content created for their brand.

  • Impressify reserves the right to showcase samples of delivered content, branding materials, testimonials (written or video), logos, and visual assets in our portfolio, marketing, and promotional materials without additional permission.

  • Any brand assets provided to Impressify (logos, videos, accolades, testimonials, etc.) are assumed to be owned or licensed for use exclusively by the client.
     

6. Client Portal & Access Boundaries

  • Clients will be given access to a custom Impressify portal for file delivery, content approvals, and communication.

  • Portal access is restricted to authorized client users only. Unauthorized access or misuse of the platform is grounds for immediate contract termination.

  • Impressify may temporarily restrict or suspend access for maintenance, upgrades, or suspected policy violations.
     

7. Confidentiality & Non-Disclosure

  • Both Impressify and the Client agree to maintain the confidentiality of any proprietary, strategic, financial, or business information disclosed in the course of working together (“Confidential Information”).

  • Confidential Information includes, but is not limited to, unpublished content, AI tools, templates, communication records, business processes, client data, and other non-public information.

  • Neither party shall disclose, use, or exploit Confidential Information for any purpose outside the scope of this agreement without prior written consent.

  • This clause does not apply to information that is publicly known, was already lawfully known, or is required to be disclosed by law.

  • This confidentiality obligation survives the termination of the client relationship.
     

8. Governing Law & Dispute Resolution

These Terms shall be governed by the laws of the Province of Ontario, Canada. In the event of any dispute, both parties agree to attempt to resolve the issue through informal negotiation.
 

If a resolution cannot be reached, the matter shall be settled through binding arbitration conducted in Ontario, in accordance with the Arbitration Act. The arbitrator’s decision will be final and enforceable in any court of competent jurisdiction.
 

Impressify reserves the right to pursue legal remedies through the Ontario court system in cases involving non-payment, intellectual property violations, or reputational harm.
 

9. Modifications to Terms

Impressify reserves the right to update or modify these Terms at any time. Updated terms will be posted on our website. Continued use of our services constitutes acceptance of those changes.
